Terms and Conditions

1. Acceptance of Terms

By using GhostCheck (the “Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including hosts who create sessions and guests who check in to sessions.

2. Description of Service

GhostCheck is a web-based application that helps groups of diners split a restaurant bill. The Service allows a host to:

  • Create a dining session and display a QR code for guest check-in.
  • Upload or enter receipt information to identify ordered items.
  • Send guests an SMS link to claim the items they ordered.
  • View a summary of each guest’s share of the bill, including proportional tax and tip.

GhostCheck does not process payments. It is a calculation and coordination tool only. All payment arrangements between guests are the sole responsibility of the users.

3. User Responsibilities

As a host, you agree to:

  • Provide accurate session and receipt information.
  • Obtain the informed consent of guests before collecting their names and phone numbers through the check-in process.
  • Use the Service only for its intended purpose of splitting a restaurant bill among consenting participants.

As a guest, you agree to:

  • Provide your real name and a phone number you own and control.
  • Accurately claim only the items you ordered.

All users agree not to:

  • Use the Service for any unlawful purpose.
  • Submit false, misleading, or fraudulent information.
  • Attempt to interfere with, disrupt, or gain unauthorized access to the Service or its underlying systems.
  • Use the Service to harass, defraud, or harm any other person.

4. SMS Program and Consent

SMS Program: GhostCheck operates a transactional SMS notification program (“GhostCheck Notifications”) with two opt-in points:

  • Hosts — by entering your phone number and clicking “Send Code,” you consent to receive a one-time verification code and session-related messages.
  • Guests — by entering your phone number and clicking “Check Me In,” you consent to receive bill review and payment reminder messages.
  • Message types: Host OTP verification codes; guest claim links when the host is ready to split the bill; follow-up reminders if a guest’s portion remains unclaimed.
  • Message frequency: Varies per session; typically 1–3 messages per dining session.
  • Costs: Standard message and data rates from your mobile carrier may apply.
  • Opt-out: Reply STOP to any GhostCheck message to opt out at any time. You will receive one final confirmation message.
  • Help: Reply HELP for support or contact us at michael@d2sci.co.

This consent is not a condition of any purchase. GhostCheck does not send marketing or promotional SMS messages. SMS opt-in data and consent will not be shared with any third parties or affiliates for marketing purposes.

5. Third-Party Services

GhostCheck uses the following third-party services to operate:

  • Twilio — for SMS delivery. Use of Twilio is subject to Twilio’s Terms of Service and Privacy Policy.
  • Anthropic — for AI-assisted receipt image processing. Use of Anthropic’s API is subject to Anthropic’s Terms of Service and Privacy Policy.

We are not responsible for the actions, content, or privacy practices of these third parties.

6. Intellectual Property

GhostCheck and its original content, features, and functionality are owned by their respective creators and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our express written permission.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure.
  • Receipt processing results will be accurate or complete.
  • Bill calculations will be free from errors.

Users are responsible for verifying bill calculations before making any payment arrangements.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GHOSTCHECK AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF MONEY, LOSS OF DATA, OR PERSONAL INJURY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED TEN DOLLARS ($10.00 USD).

9. Indemnification

You agree to indemnify, defend, and hold harmless GhostCheck and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service or your violation of these Terms.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. The “Last Updated” date at the top of this document reflects the most recent revision. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.
